Terms of Use

These Terms of Use constitute a legal agreement between you, as the user of the website, and SeedTribe Limited, as the owner of the website. Throughout these Terms of Use we will refer to you as "you", and we will refer to SeedTribe Limited as "we", "us" or "SeedTribe".

1. Application

These Terms of Use set out the general terms governing your use of the website. They apply to you as soon as you first use the website, and you are deemed to have agreed to be bound by them upon your first use of the website. If you do not wish to continue to be bound by these Terms of Use, please stop using the website now.

2. Intellectual Property

The website may include at any given time text, graphics, logos, icons, images, sound clips, video clips and data compilations, and together with the website's page layout, underlying code and software we refer to all of these as "Content".

All of the Content is the property of SeedTribe, our affiliates or third parties with whom we do business, and this means that it is protected by United Kingdom and international intellectual property laws and other relevant laws. This means that, except as provided by Part 1, Chapter 3 of the UK Copyright, Designs and Patents Act 1988 (which contains what are generally known as the "fair use" provisions for copyrighted materials), you may not reproduce, copy, distribute, store or in any other fashion re-use material from the website unless otherwise indicated on the website or unless given express written permission to do so by SeedTribe. For the avoidance of doubt, data mining or scraping the website without the express written permission of SeedTribe is not permitted.

3. Reliance on Information Posted

Commentary and other materials posted on this website are not intended to amount to advice. We are not liable or responsible for any reliance placed on such materials by you or anyone who you may inform of any of its contents.

4. Changes to The Website

We aim to update this website regularly, and may change the content at any time. If the need arises, we may suspend access to the website, or close it indefinitely. Any of the material on this website may be out of date at any given time, and we are under no obligation to update such material.

5. Our Liability

The material displayed on this website is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, we, other members of our group of companies and third parties connected to us hereby expressly exclude:

  • All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.
  • Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results or the use of this website, any websites linked to it and any materials posted on it, including, without limitation any liability for:
    • Loss of income or revenue;
    • Loss of business;
    • Loss of profits or contracts;
    • Loss of anticipated savings;
    • Loss of data;
    • Loss of goodwill;
  • Wasted management or office time; and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraud or fraudulent misrepresentation, nor any other liability which cannot be excluded or limited under applicable law.

6. Information About You and Your Visits To Our Website

We process information about you in accordance with our Privacy Policy. By using this website, you consent to such processing and you warrant that all data provided by you is accurate.

7. Viruses, Hacking and Other Offences

You must not misuse this website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful (together “viruses”). You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to this site. You must not attack this site via a denial-of-service attack.

By breaching this provision, you may commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your rights to use this website will cease immediately.

We will not be liable for any loss or damage caused by a denial-of-service attack or Viruses that may infect your computer equipment, computer programs, data or other proprietary material due to your use of this website or to your downloading of any material posted on it, or on any website linked to it.

8. Links From Our Website

Where this website links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

9. Severability

We have made every effort to ensure that these Terms of Use adhere strictly with the relevant provisions of the UK Unfair Contract Terms Act 1977 and other applicable laws. However, in the event that any of these provisions are found to be unlawful, invalid or otherwise unenforceable, that provision is to be deemed severed from these Terms of Use and shall not affect the validity and enforceability of the remaining Terms of Use. This clause on "Severability" shall apply only within jurisdictions where a particular term is illegal.

10. No Waiver

In the event that either you or we fail to exercise any right or remedy contained in these Terms of Use, that does not mean you or we (as applicable) have waived that right or remedy and so shall not be construed as a waiver.

11. Choice of Law

These Terms of Use, and the relationship between you and SeedTribe created by it, shall be governed by and construed in accordance with the laws of England and Wales.

12. Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales. This means that if you want to bring a legal action against us, or we want to bring a legal action against you, it must be done in one of these courts.

13. Revisions

From time to time we may update these Terms of Use to take account of changes in the law or for any other reason. If we update these Terms of Use, we will post a new version on the website, and as soon as you use the website after they are posted, you will be deemed to have agreed to the updated version, but you will still be bound by the terms of any previous versions to which you have agreed or been deemed to agree. If there is a conflict between two versions of the Terms of Use to which you have agreed or been deemed to agree, the more recent version shall take precedence unless it is expressly stated otherwise.
